General

Welcome to the website of the “Hamigdal” project by Minrav Ltd. (the “Site,” the “Project,” and the “Company,” respectively).

By browsing or using the Site in any way, you indicate your agreement to these Terms of Use. You are not required to agree to them; however, if you do not, you must refrain from browsing or using the Site.

The Company respects the privacy of Site users. The handling of personal information collected during use of the Site is governed by the Company’s Privacy Policy (“Privacy Policy”), which forms an integral part of these Terms of Use.

There is no legal obligation to provide the Company with personal information. Providing such information is voluntary; however, in certain cases, failure to provide it may prevent you from contacting the Company or may prevent the Company from processing or responding to your inquiry. Further details regarding the collection, use, transfer to third parties, and rights of data subjects appear in the Privacy Policy.

Please read these Terms of Use (including the Privacy Policy) carefully before using the Site, and review them periodically, as they may change from time to time.

These Terms of Use are written in the masculine form for convenience only and apply equally to all genders.

Use of the Website

The Site is intended for displaying information about the Project and for contacting the Company. It is for personal use only, for these specified purposes. Any other use of the Site is prohibited.

You may not copy content from the Site or perform any action with the information it contains, other than browsing, without the Company’s prior written permission.

Browsing the Site does not require registration or the provision of personal details. However, contacting the Company through the Site may require the submission of details. In such cases, only accurate and truthful information may be provided. Submitting false or fictitious information is strictly prohibited. It is recommended to avoid providing personal information that has not been explicitly requested.

Website Availability and Security

The Company takes measures to ensure high availability of the Site. However, disruptions may occur — whether planned (e.g., maintenance work) or unplanned (e.g., communication failures). The Company will take reasonable measures to address such disruptions. The Company reserves the right to suspend operation of the Site, in whole or in part, permanently or temporarily.

The Company implements security measures to protect against harmful elements, cyberattacks, and security risks, and to reduce the risk of misuse of the Site by users or external parties. Reasonable steps are taken to prevent vulnerabilities that may result in harm to the Site, its content, or its users, including ‘viruses’, ‘worms’, ‘Trojan horses’, ‘ransomware’, ‘spyware’, or any ‘malware’ containing malicious code intended to harm computer, communication, or information systems, affect the content on the Site, or unlawfully obtain information. Despite these efforts, the Company cannot guarantee complete protection from such threats or their penetration into its systems or the Site’s systems. The Company will not be liable, under contract, tort, or any other legal theory, for use of the Site by users or by external parties (including ‘hackers’ or ‘data harvesters’), nor for financial or other damages caused in any manner (including direct, indirect, consequential, or incidental damages), nor for any expenses, costs, inconvenience, emotional distress, reputational harm, or similar issues.

Intellectual Property

All copyrights and other intellectual property rights in the Site, including its tools and contents (such as any software, application, graphic file, computer code, textual content, image, or any other content of any kind), are the exclusive property of the Company (or third parties who have permitted the Company to use them). You may not copy, reproduce, translate, distribute in any way, publicly display, perform, process, modify, sell, rent, or otherwise use the Site, its contents, or any part thereof, without the Company’s prior written consent.

All trademarks and trade names of the Company, including the names of its projects and services, whether registered or not, are its exclusive property. They may not be used in any manner without the Company’s prior written consent.

User Inquiry Content

Any content sent by users to the Company in connection with the Site or its contents — including messages, reviews, ideas, or advice relating to the Site, the Company, or its products and services (“User Inquiry Content”) — will not be treated as confidential information. The Company may use such content at its sole discretion, without obligation to provide compensation or assume any duty toward the user. By uploading User Inquiry Content to the Site, the user represents and warrants that the information does not infringe any third-party rights (including refraining from providing another’s confidential information or any information prohibited by law) and grants the Company a perpetual, non-revocable license to use such content on the Site, or in any of the Company’s systems, products, or services, whether existing or future.

Links From and To the Site

The Site may include links to external websites. Unless expressly stated otherwise, these websites are not under the Company’s control or supervision. The links are provided solely for user convenience. The Company is not and will not be responsible for external websites, and does not guarantee their accuracy, reliability, timeliness, or freedom from harmful elements. The Company does not warrant that the links will lead to active or correct websites. The inclusion of a link on the Site does not constitute a recommendation, endorsement, encouragement, or representation by the Company regarding such third-party websites, their content, or the services provided through them. Use of third-party websites is at the sole risk of the user and subject to those websites’ terms of use and privacy policies. The Company encourages users to review those terms and policies before using such websites.

Unless the Company notifies otherwise, you may link to the homepage of the Site. The Company reserves the right to revoke such consent and require removal of links. Linking to internal pages (deep links), framing, or similar actions (including use of software or tools that display or omit content from the Site) are prohibited without the Company’s prior written consent.

Limited Liability of the Company

The Site is provided “as is”. While the Company makes efforts to ensure availability, integrity, uninterrupted operation, and accuracy of the Site and its contents, it cannot guarantee error-free, continuous, or flawless use.

Except for the Company’s reasonable measures to prevent interruptions, disruptions, or errors, the Company shall not be liable (whether in contract, tort, or any other legal framework) for any damage, inconvenience, or loss arising from the use (or inability to use) the Site, its tools, contents, or services. This includes, without limitation, direct, indirect, or consequential damages, loss of profit, or emotional distress.

Applicable Law and Jurisdiction

All matters relating to the Site and these Terms of Use are governed exclusively by the laws of the State of Israel (excluding reference to conflict-of-law rules). The competent courts of Tel Aviv–Yafo shall have exclusive jurisdiction over any disputes between the Company and users relating to the Site.
